These Terms of Service ("Terms") govern your access to and use of Parsely ("Service"), operated by Technol ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Parsely is an AI-powered ticket generation platform that converts unstructured content — such as PRDs, meeting notes, Slack threads, emails, and plain text — into structured tickets for project management platforms including Jira, Linear, and GitHub.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Parsely, you represent that you meet these requirements.
3. Account Registration
To use the Service, you must create an account using one of the following methods: email and password, Google OAuth, or GitHub OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
4. Acceptable Use
You agree not to:
- Submit content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
- Use the Service to generate tickets containing sensitive personal data (e.g., Social Security numbers, financial account numbers, health records) unless you have the appropriate legal basis and consent.
- Attempt to gain unauthorized access to the Service, other accounts, or connected third-party platforms.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service in any way that violates applicable laws or regulations.
- Use automated scripts, bots, or scrapers to access the Service outside of its intended interface.
- Circumvent or interfere with any security features of the Service.
5. Your Content
5.1 Ownership
You retain ownership of all content you submit to the Service ("User Content"), including source text, documents, and any other materials. We do not claim ownership over your User Content.
5.2 License
By submitting User Content, you grant us a limited, non-exclusive, worldwide license to process, store, and transmit your content solely for the purpose of providing the Service to you. This includes sending your content to our AI provider (Anthropic) for ticket generation and to your connected project management platforms (Jira, Linear, GitHub) for ticket creation.
5.3 Generated Output
Tickets and other outputs generated by the Service based on your User Content ("Generated Output") are yours to use. We do not claim ownership over Generated Output. However, we make no guarantees regarding the accuracy, completeness, or suitability of any Generated Output.
6. Third-Party Integrations
6.1 Platform Connections
The Service allows you to connect third-party project management platforms (Jira, Linear, GitHub) via OAuth authentication. By connecting these platforms, you authorize the Service to access and interact with your data on those platforms within the scope of the permissions you grant.
6.2 Third-Party Terms
Your use of connected platforms remains subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of any third-party service.
6.3 Token Storage
OAuth access and refresh tokens for connected platforms are stored securely in our database to maintain your connections. You may revoke access at any time by disconnecting a platform from the Service or revoking permissions from the third-party platform directly.
7. AI-Powered Features
7.1 AI Processing
The Service uses Anthropic's Claude AI models to process your content and generate tickets. By using the Service, you acknowledge that your submitted content will be sent to Anthropic's API for processing.
7.2 No Guarantees
AI-generated content may contain errors, inaccuracies, or omissions. You are responsible for reviewing all Generated Output before pushing it to your project management platforms. We are not liable for any consequences arising from the use of AI-generated content.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
9. Account Termination
9.1 By You
You may delete your account at any time through the Settings page. Account deletion will permanently remove all your data, including chats, generated tickets, platform connections, and associated records.
9.2 By Us
We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use of the Service poses a risk to us or other users. We will make reasonable efforts to notify you before termination unless doing so would be impractical or pose a legal risk.
10. Intellectual Property
The Service, including its design, code, features, and documentation, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features without prior written consent.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY GENERATED OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PARTICULAR PURPOSE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of a third party.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict of law provisions.
17. Dispute Resolution
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in the Company's jurisdiction.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.
